Terms of Service

1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("you", "your", or "User") and Agentive Group Co Pty Ltd (ACN 695 269 222, ABN 54 695 269 222), an Australian proprietary company trading as Scribekast.AI ("we", "our", "us", or "Scribekast.AI").

By accessing or using the Scribekast.AI platform at app.scribekast.ai ("the Service"), you acknowledge that you have read, understood, and agree to be bound by these Terms. If you are entering into these Terms on behalf of an organisation, you represent and warrant that you have the authority to bind that organisation to these Terms.

If you do not agree to these Terms, you must not access or use the Service.

2. Definitions

In these Terms, the following definitions apply:

  • "Service" means the Scribekast.AI platform, including all features, tools, APIs, and related services.
  • "Content" means any text, images, media, or other material generated by or through the Service, including AI-generated content.
  • "User Content" means any data, information, or material you provide to or through the Service, including RSS feed URLs, brand voice configurations, editorial guidelines, and edits to generated content.
  • "Connected Account" means a third-party social media or publishing account you authorise Scribekast.AI to access via OAuth.
  • "Subscription Plan" means the tier of service you have subscribed to (Starter, Professional, or Enterprise).
  • "Tenant" means your organisation or workspace within the Service.

3. Account Registration

  • You must be at least 18 years of age to create an account and use the Service.
  • You must provide accurate, current, and complete information during registration.
  • You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
  • You must notify us immediately at privacy@scribekast.ai if you become aware of any unauthorised use of your account.
  • We reserve the right to suspend or terminate accounts that contain false or misleading information.
  • You may not create multiple accounts to circumvent usage limits or for any other purpose without our prior written consent.

4. Service Description

Scribekast.AI is an AI-powered editorial engine and software-as-a-service (SaaS) platform that provides the following capabilities:

  • RSS feed monitoring: Automated discovery and monitoring of content from RSS feeds you configure.
  • AI content generation: Automated generation of multi-channel social media content using artificial intelligence, based on discovered articles and your configured brand voices and editorial verticals.
  • Human-in-the-loop review: A review queue where all AI-generated content must be reviewed, optionally edited, and explicitly approved by an authorised user before publishing.
  • Multi-channel publishing: Scheduled or immediate publishing of approved content to connected platforms including LinkedIn, Facebook, Instagram, X (Twitter), TikTok, YouTube Shorts, and WordPress.
  • Analytics and reporting: Tracking of content performance, publishing activity, and usage metrics.

The Service is provided on an "as available" basis. We reserve the right to modify, update, or discontinue features of the Service at any time with reasonable notice.

5. Subscription Plans and Billing

5.1 Plans

The Service is offered under the following subscription tiers:

  • Starter: AUD $299 per month. Includes up to 20 content jobs per month, 10 RSS sources, and manual scheduling.
  • Professional: AUD $599 per month. Includes up to 75 content jobs per month, 50 RSS sources, auto-scheduling, recurring schedules, and up to 5 users.
  • Enterprise: AUD $1,499 per month. Includes up to 250 content jobs per month, unlimited RSS sources, all features, multi-level approval workflows, and unlimited users.

5.2 Billing

  • All payments are processed by Stripe. By subscribing, you agree to Stripe's terms of service.
  • Subscriptions are billed monthly in advance on the date of your initial subscription.
  • All fees are quoted in Australian Dollars (AUD) unless otherwise stated and are exclusive of applicable taxes (including GST).
  • Failed payments may result in suspension of your account. We will attempt to notify you before any suspension.

5.3 Cancellation and Refunds

  • You may cancel your subscription at any time through your account settings or by contacting us. Cancellation takes effect at the end of your current billing period.
  • No refunds are provided for partial billing periods or unused portions of your subscription, except as required by Australian Consumer Law.
  • Upon cancellation, your access to paid features will continue until the end of your current billing period, after which your account will revert to an inactive state.

5.4 Usage Limits

Each subscription tier includes specific usage limits (content jobs, RSS sources, users, and features). If you exceed your plan's limits, you will need to upgrade to a higher tier. We will notify you when you approach your limits.

5.5 Price Changes

We may change our subscription pricing with at least 30 days' written notice. Price changes will take effect at the start of your next billing period following the notice period. If you do not agree to a price change, you may cancel your subscription before the change takes effect.

6. Content and Publishing

6.1 AI-Generated Content

  • The Service uses artificial intelligence (including OpenAI models) to generate content. AI-generated content may contain inaccuracies, errors, or biases.
  • All AI-generated content is presented to you for review. No content is published without your explicit approval through the human-in-the-loop review process.
  • You are solely responsible for reviewing, editing, and approving all content before it is published to your connected accounts.

6.2 User Responsibility

  • You are solely responsible for all content published through your connected social media and publishing accounts, including content generated by AI and approved by you.
  • You must ensure that all published content complies with the terms of service of the platforms to which it is published.
  • You must have all necessary rights, permissions, and authorisations to publish content to your connected accounts.

6.3 No Auto-Publishing

The Service does not automatically publish content without human approval. All content must pass through the review queue and be explicitly approved by an authorised user before it is published or scheduled for publishing.

7. Intellectual Property

7.1 Our Intellectual Property

The Service, including its design, code, features, documentation, and branding, is the intellectual property of Agentive Group Co Pty Ltd and is protected by Australian and international intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of the Service without our prior written consent.

7.2 Your Content

You retain ownership of your User Content. By using the Service, you grant us a limited, non-exclusive, worldwide licence to use, process, and store your User Content solely for the purpose of providing and improving the Service.

7.3 AI-Generated Content

Content generated by the AI is provided to you under your subscription. We do not claim ownership of AI-generated content that you approve and publish. You are responsible for ensuring that any content you publish does not infringe on the intellectual property rights of third parties, including the source articles from which AI content is derived.

8. Acceptable Use

You agree not to use the Service to:

  • Generate, approve, or publish content that is unlawful, defamatory, obscene, harassing, threatening, or otherwise objectionable.
  • Generate or publish spam, unsolicited advertising, or misleading content.
  • Infringe upon the intellectual property rights, privacy, or other rights of any third party.
  • Violate any applicable laws, regulations, or the terms of service of connected platforms.
  • Attempt to circumvent usage limits, security measures, or access controls.
  • Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Service.
  • Use the Service to develop a competing product or service.
  • Interfere with or disrupt the integrity or performance of the Service.
  • Use automated tools (bots, scrapers, etc.) to access the Service except through our official APIs.
  • Share your account credentials with third parties or allow multiple individuals to use a single-user account.

We reserve the right to suspend or terminate your account if we determine, in our sole discretion, that you have violated these acceptable use provisions.

9. Connected Accounts

  • By connecting a third-party account (LinkedIn, Facebook, Instagram, X/Twitter, TikTok, YouTube, WordPress) to the Service, you authorise us to access that account via OAuth to publish content on your behalf.
  • We only access your connected accounts to perform actions you have explicitly approved, specifically publishing content you have reviewed and approved.
  • You may disconnect any connected account at any time through your account settings. Disconnecting an account immediately revokes our access.
  • You are responsible for maintaining valid authorisation on your connected accounts. If an OAuth token expires or is revoked, you will need to re-authenticate to continue publishing.
  • We are not responsible for any changes to third-party platform APIs, terms of service, or features that may affect the functionality of connected accounts.

10. Data and Privacy

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, store, and protect your personal information. By using the Service, you acknowledge that you have read and understood our Privacy Policy.

11. Limitation of Liability

To the maximum extent permitted by law, including the Australian Consumer Law (Schedule 2 of the Competition and Consumer Act 2010):

  • The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.
  • We do not warrant that the Service will be uninterrupted, error-free, secure, or free of harmful components.
  • We do not warrant the accuracy, completeness, or reliability of any AI-generated content. You acknowledge that AI-generated content may contain errors and must be reviewed before publishing.
  • In no event shall Agentive Group Co Pty Ltd, its directors, officers, employees, or agents be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or in connection with your use of the Service.
  • Our total aggregate liability for all claims arising out of or relating to the Service shall not exceed the total fees paid by you to us in the twelve (12) months preceding the claim.
  • We are not liable for any content published to third-party platforms through your connected accounts, including any consequences arising from such publication.

Nothing in these Terms excludes, restricts, or modifies any consumer guarantee, right, or remedy conferred by the Australian Consumer Law or any other applicable law that cannot be excluded, restricted, or modified by agreement.

12. Indemnification

You agree to indemnify, defend, and hold harmless Agentive Group Co Pty Ltd, its directors, officers, employees, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or in connection with:

  • Your use of the Service or any content you publish through the Service.
  • Your violation of these Terms or any applicable law or regulation.
  • Your infringement of any third-party rights, including intellectual property rights.
  • Any content published to your connected accounts through the Service that you approved.

13. Termination

13.1 Termination by You

You may terminate your account at any time by cancelling your subscription and deleting your account through the Service, or by contacting us at privacy@scribekast.ai.

13.2 Termination by Us

We may suspend or terminate your access to the Service, with or without notice, if:

  • You breach any provision of these Terms.
  • Your subscription payment fails and is not remedied within 14 days.
  • We are required to do so by law.
  • We cease to offer the Service (with reasonable notice).

13.3 Effect of Termination

  • Upon termination, your right to use the Service ceases immediately (or at the end of your billing period, if applicable).
  • We will delete your account data in accordance with our Privacy Policy retention schedule.
  • All OAuth tokens for connected accounts will be deleted immediately upon termination.
  • Sections 7 (Intellectual Property), 11 (Limitation of Liability), 12 (Indemnification), 14 (Governing Law), and 15 (Dispute Resolution) survive termination.

14. Governing Law

These Terms are governed by and construed in accordance with the laws of New South Wales, Australia, without regard to its conflict of law provisions. You agree to submit to the exclusive jurisdiction of the courts of New South Wales, Australia, for any disputes arising out of or relating to these Terms or the Service.

15. Dispute Resolution

Before initiating any legal proceedings, you agree to attempt to resolve any dispute with us through the following process:

  • Step 1 - Notice: Send a written notice of the dispute to privacy@scribekast.ai, describing the nature of the dispute and the resolution sought.
  • Step 2 - Negotiation: Both parties shall attempt to resolve the dispute through good faith negotiation within 30 days of the notice.
  • Step 3 - Mediation: If the dispute is not resolved through negotiation, either party may refer the dispute to mediation administered by the Australian Disputes Centre (ADC) in Sydney, New South Wales.
  • Step 4 - Litigation: If mediation fails, either party may commence proceedings in the courts of New South Wales, Australia.

16. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, that provision shall be severed from these Terms and the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving its original intent.

17. Changes to Terms

We may update these Terms from time to time. When we make material changes, we will notify you by updating the "Last updated" date at the top of this page and, for material changes, by sending a notification to the email address associated with your account at least 30 days before the changes take effect.

Your continued use of the Service after the effective date of any changes constitutes your acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the Service and cancel your subscription.
